**RESPONSIBILITIES** - Work with the Legal Manager in a coordinated, integrated manner, in compliance with the Group’s procedures and organization to implement the guidelines decided at Group level within Thales for the entities within the region. - Responsible for addressing corporate law, governance and compliance aspects for local Thales entities and drafting the necessary documents to formalize the relevant resolutions. - Secure the legal sustainability and continuity of companies, particularly to adapt to changes in laws, regulations and succession of management - Manage, update and renew mandatory and relevant Power of Attorneys - Report to the Compliance Officer of Thales entities’ within the region as defined in Thales instructions and perform the relevant risk assessments of the different compliance topics from the group. - Make the relevant risk assessment of third parties according to the group’s policies and local laws and regulations. - Contribute to the implementation of Thales Group ethics & compliance standards, and as such will participate notably to the deployment of an ethics & compliance communication and training plan. - The Job Holder will assist the Legal Manager addressing audit reviews (internal and external) - Ensuring the organization’s compliance with the Group’s directives as well as with applicable laws and regulations, including Trade compliance, Competition Laws Compliance, Data Protection Compliance, Anticorruption Compliance and Third Party Integrity Compliance - Manage the legal qualification and local legal accreditations of Thales entities to be qualified to perform business and commercial activities in compliance with local regulations - Manage legal registries in order to enable the company to participate in public bids and manage needed mandatory certificates in compliance of tender requests. - Provide expertise in local legal and contractual systems to the Corporate/Global Business Units legal related to their activities in the region and support the business of Thales in South America (except Brazil). - Responsible for drafting, negotiating, preparing and managing the contracts to be executed across the value chain from proposal to completion of projects, including partnerships and supply chain. - In compliance with Group policy, the Job Holder will interface with external counsels and law firms for analysis and management of specific legal issues in the framework of complex contractual and/or legal arrangements. - Work to resolve disputes and Litigation relying on local law firms and in coordination with and under authority of Corporate Dispute Resolution & Litigation Legal Department. - Identify, analyze, manage and reduce the main contractual risks while optimizing contractual opportunities in bids and projects, support contractual analysis, interpretation, documentation, claims, disputes on both sales side and supply side. - Supporting the Capture/Bid team in negotiations with the customer. - Development of the Contract Baseline. - Upload of contracts in internal repository tools. - Ensuring members of the Project team are fully briefed on all material elements of the contract. - Management of contractual disagreements. - Build and follow up of the Company’s claims and defend the Company against all claims. **QUALIFICATIONS** - Bachelors’ Degree in Law. - 5 years of professional work experience in commercial transactions. Desirable experience in public bidding and contract management. - Advanced English proficiency - Proficient with the use of Microsoft Office (Word, Excel, PowerPoint) - Ability to interact and advise Senior Management - Autonomous, reliable, meticulous, confident, with optimal teamwork capacity, well organized and with capacity to work under pressure and set priorities when workload requires - Strong communication skills, oral and written - High motivation and enthusiasm, hands-on - Must have an interest for an international environment
